1. Identification and purpose
This document governs the terms of use of the MIAU platform (hereinafter, “the Platform”), an AI-assisted strategic consulting service aimed at professionals in communication, branding, and business strategy.
The Platform is owned by USHUAIA CONSULTING SL, with Tax ID (CIF) B20771739, registered office at C/ Mar de Alborán 70 F2BA, 29649 Mijas Costa, Málaga, Spain. By registering and using the Platform, the user fully accepts these Terms of Service.
2. Description of the service
MIAU offers the following features:
- Chat with an AI assistant for strategic consulting.
- Project management with documents, calendar, subprojects, and team.
- AI-assisted generation of publications and content.
- Strategic frameworks and commercial analysis forms.
- Calendar and planning of tasks, meetings, and milestones.
- Team management with differentiated roles.
- Billing and account management.
3. Registration and user account
To use the Platform, you must create an account providing truthful and up-to-date information. The user is responsible for maintaining the confidentiality of their access credentials and for all activity carried out from their account.
MIAU reserves the right to suspend or delete accounts that breach these Terms, make abusive use of the service, or put the integrity of the Platform at risk.
4. Use of artificial intelligence
The Platform integrates artificial intelligence models served by TensorX Ltd. (Ireland), which runs them on infrastructure located within the European Union. The user acknowledges and accepts that:
- They are interacting with an artificial intelligence system, and the assistant’s responses are generated automatically, in accordance with the transparency obligation under Article 50 of Regulation (EU) 2024/1689 (AI Act).
- Responses generated by the AI are indicative only and do not constitute binding professional advice in legal, financial, medical, or any other matter.
- The user is responsible for verifying, validating, and adapting any generated content before professional or commercial use.
- Project data may be sent to the aforementioned AI providers for processing, in accordance with each provider’s privacy policy.
- MIAU does not guarantee the availability, accuracy, or suitability of the AI’s responses for any specific purpose.
5. Responsibility for data entered
The user is solely responsible for the data, documents, and content they enter into the Platform.
If the user incorporates personal data belonging to third parties (clients, collaborators, employees, or others), the user represents that they have sufficient legal basis for processing such data under the General Data Protection Regulation (GDPR) and applicable law, and releases MIAU from any liability arising from the unauthorized processing of such data.
6. Intellectual property
The user retains all intellectual property rights over the content they upload or create on the Platform, including documents, texts, project data, and configurations.
The design, code, brand, logos, and other elements of the Platform are the exclusive property of MIAU and are protected by applicable intellectual and industrial property law.
Content generated by the AI is considered a support tool. The user who makes use of such content assumes responsibility for its final use.
7. User obligations
The user agrees to:
- Use the Platform lawfully, ethically, and in accordance with these Terms.
- Not use the AI to generate illegal, defamatory, discriminatory, or misleading content.
- Not attempt to access other users’ accounts, data, or features.
- Not carry out reverse engineering, scraping, or any activity that compromises the security of the service.
- Not intentionally overload the Platform’s systems.
8. Plans, pricing, and billing
The Platform offers plans with different levels of functionality and AI usage limits. The prices and conditions of each plan are detailed in the corresponding section of the Platform.
MIAU reserves the right to modify prices with a minimum notice of 30 days. Changes will not affect billing periods already paid for.
9. Limitation of liability
The Platform is provided “as is” and “as available.” MIAU does not guarantee that the service will be uninterrupted, error-free, or that it will meet all of the user’s needs.
To the maximum extent permitted by law, MIAU will not be liable for indirect, incidental, special, or consequential damages arising from the use or inability to use the Platform, including but not limited to loss of profits, data, or reputation.
10. Cancellation and termination
The user may cancel their account at any time from their profile settings. After cancellation, the user’s data will be retained for a period of 30 days in case they wish to reactivate their account, after which it will be permanently deleted.
MIAU may suspend or cancel accounts that breach these Terms, with prior notice when possible.
11. Right of withdrawal
Under Royal Legislative Decree 1/2007 (Spanish General Law for the Protection of Consumers and Users), users who qualify as consumers have a period of 14 calendar days from the contracting of any paid plan to exercise their right of withdrawal without justification and without penalty.
To exercise this right, you may contact us through the Contact section, or by sending an email stating your intention to withdraw from the contract. The refund will be made using the same payment method used in the original transaction, within a maximum of 14 days from receipt of the communication.
The right of withdrawal will not apply when the service has been fully performed with the express consent of the consumer and with the acknowledgment that they will lose their right of withdrawal once the contract has been fully performed (Art. 103.a LGDCU).
12. Changes
MIAU reserves the right to modify these Terms of Service at any time. Substantial changes will be notified to registered users by email at least 15 days in advance. Continued use of the Platform after notification implies acceptance of the new terms.
13. Governing law and jurisdiction
These Terms are governed by Spanish law and applicable European Union regulations. For the resolution of any dispute, the parties submit to the courts and tribunals of the city of Málaga (Spain), unless applicable consumer protection law establishes a different jurisdiction.
